Broadcom confirms takeover of Brocade for USD 5.9 bln

(Telecompaper) Broadcom has confirmed an agreement to acquire Brocade for USD 5.9 billion, expanding its position in the Fiber Channel SAN market. The company is offering USD 12.75 per share cash for Brocade and will also assume USD 0.4 billion in debt. The bid is a 47 percent premium on Brocade's share price of 28 October, the day before reports first emerged of a possible deal. The takeover is focused on acquiring Brocade's Fiber Channel business, as Broadcom plans to sell Brocade's IP Networking business.

Liberty Global confirms Cable & Wireless takeover talks

(Telecompaper) Liberty Global has confirmed that it has entered into discussions regarding a possible cash-and-shares offer to take over UK-based telecoms group Cable & Wireless Communications (CWC). The two companies have been in talks for some time about bringing together CWC's strong position in the Caribbean with Liberty's operations in Chile and Puerto Rico, according to unnamed sources cited by the Financial Times, who added that negotiations have centred around a price of USD 5.5 billion, with Liberty also assuming CWC's net debt of around USD 2.6 billion. According to UK law, Liberty now has until 19 November to submit an offer. The possible deal comes after Liberty Global announced that it had ended discussions with Vodafone about an exchange or combination of assets, although it did agree to acquire Belgium's third-largest operator Base for EUR 1.33 billion earlier this year.

Intel confirms Altera takeover for USD 16.7 billion

(Telecompaper) Intel confirmed an agreement to acquire chipmaker Altera for USD 16.7 billion. The offer of USD 54 cash per share is a 10.5 percent premium on Altera's last closing price. Altera's leading field-programmable gate array (FPGA) technology is expected to enable new classes of products for Intel to meet customer needs in the data centre and Internet of Things market segments. Intel said it plans to offer Altera's FPGA products with Intel Xeon processors as highly customized, integrated products. The companies also expect to enhance Altera's products through design and manufacturing improvements resulting from Intel's manufacturing model. Altera will become an Intel business unit to facilitate continuity of existing and new customer sales and support. Intel also plans to continue support and development for Altera's ARM-based and power management product lines. Intel expects the takeover to add to adjusted EPS and free cash flow in the first year after close. The deal should be completed within 6-9 months, pending regulatory clearance and approval by Altera shareholders.
