Oi enters talks with bondholders group

(Telecompaper) Brazilian operator Oi has taken a further step in restructuring its debt by entering into talks with a group of bondholders. The operator said it signed a non-disclosure agreement with Moelis & Company, an advisor acting on behalf of an ad hoc group of holders of the bonds issued by Oi and certain of its affiliated companies. Oi said the agreement is an initial step toward "productive and expeditious discussions regarding the terms of a potential restructuring". According to previous announcements, Oi retained PJT Partners as financial advisor to assist in evaluating financial and strategic alternatives to optimize its liquidity and debt profile, and it has engaged Barbosa Mussnich Aragao and White & Case as its legal advisors.

The Ontario Court of Appeal recently affirmed the decision of the Ontario Superior Court of Justice in Nortel Networks Corporation , [1] that the "interest stops" rule applies in proceedings under the Companies' Creditors Arrangement Act [2] . Specifically, the Court held that the "interest stops" rule applies in liquidating CCAA proceedings, such as Nortel, as parties retain the right to provide for the payment of post-filing interest in a CCAA restructuring plan.

Forest Oil Corp.'s bondholders are being punished by a rarely used loophole that's allowing the oil and gas producer to bypass repaying the debt above face value when a merger occurs, according to debt researcher Covenant Review. Forest Oil's bonds lost nearly half their value after the company revised its merger agreement with Sabine Oil & Gas LLC to eliminate an offer to redeem the debt at 101 cents on the dollar.
