Agcom green lights Telecom Italia fixed network spin-off

(Telecompaper) Italian regulator Agcom has given the green light to Telecom Italia's preliminary proposal for spinning off its fixed network as an independent company. Telecom submitted the plan in late May, and Agcom officials met with the company to discuss the technical details. The regulator's evaluation focused on three themes: the services to be provided by the new company; the road map for providing 'equivalence of inputs' (EoI), ie the same services and quality to other wholesale customers as Telecom's retail activities receive; and the governance system for ensuring EoI. Agcom found that the proposal is in line with the guidelines from EU regulator Berec on unbundling, while noting this is only the first step in a process that must include all stakeholders. In September, the regulator plans to start a more in-depth analysis of the proposal and its implications for the wholesale access market. Telecom Italia earlier this month said it was suspending the plan, after Agcom approved a cut in wholesale broadband rates. It has since met with EU regulators over the proposals for a new recommendation on wholesale broadband and said it hopes to make a new decision on the spin-off by the end of this month.

Telecom Italia suspends fixed network spin-off plan

(Telecompaper) Telecom Italia has decided to suspend its plan to spin off its fixed network, following the recent regulatory decisions lowering wholesale broadband rates in Italy. In a meeting convened 15 July, the board examined the draft decisions by regulator Agcom and decided they resulted in uncertainties that could affect the feasibility of the fixed network separation plan. As a result the plan is suspended until the impact of the regulation can be evaluated. The Italian operator first announced the plan in May and was expected to sell a stake in the new network company to investors as part of efforts to reduce its debt. The suspension of the fixed network plan could help it revive talks to acquire mobile operator 3 Italia from Hutchison Whampoa. These talks were halted earlier due to difficulties valuing a stake for Hutchison in the new company pending the fixed network spin-off.

Telecom Italia ends talks on 3 Italia takeover

(Telecompaper) Telecom Italia has ended talks with Hutchison Whampoa on a possible merger of their mobile activities in Italy. At a board meeting on 04 July, the board of Telecom Italia examined the results of its preliminary contacts with Hong Kong-based Hutchison. According to a statement from the company, the board found that "at present there are not the elements necessary to start negotiations". The companies first confirmed the merger talks in early April, but Telecom Italia has repeatedly delayed a decision on entering full negotiations as it seeks certain assurances from Hutchison. The takeover would have strengthened TIM's position as the largest mobile operator in Italy after acquiring Hutchison's 3 Italia, the smallest player on the market. Hutchison would in return have become the largest shareholder in Telecom Italia. The deal reportedly faced resistance from Telefonica, which is part of the controlling Telco shareholders pact at Telecom Italia, and was also hampered by the ongoing discussions over the spin-off of Telecom Italia's fixed network and its valuation.
