TDC to recommend new takeover offer from Macquarie consortium

(Telecompaper) Danish operator TDC said a consortium of pensions companies PFA, PKA, ATP, and Macquarie Infrastructure and Real Assets, has decided to launch a take-over offer for it for an all-cash consideration of DKK 50.25 per share. The offer is subject to its merger with MTG's Nordic Entertainment and Studio Business not going ahead. TDC will recommend that shareholders accept the consortium's offer, which would not be conditional on due diligence, once approved by the Danish Financial Supervisory Authority.

TDC would pull out of MTG deal if approach for all its share leads to firm bid

(Telecompaper) Sweden's Modern Times Group (MTG) said that Denmark's TDC Group intends its withdraw recommendation of the combination of MTG Nordic Entertainment and MTG Studios with TDC. TDC said it has been approached by a potential bidder for all of its shares, and that if this party does indeed go ahead and make an offer, the board of director would withdraw its recommendation of the transaction with MTG. TDC said there can be no certainty that the discussions will in fact lead to the potential bidder making an offer.

(Telecompaper) Last week's telecoms stock performance was almost completely overshadowed by the general market correction. Our European Telecoms Stock Index was down 5.8 percent, against -5.6 percent for the Eurostoxx 50 Index. Year to date our basket is down 7.2 percent, underperforming the Eurostoxx 50's -5.1 percent. Very few stock managed to close the week up. TDC (+17.0%) was a shining outperformer on news of a buy-out offer from Macquarie et al. Other stocks in positive territory were Finnish DNA (+1.1%), extending its big gain from the previous week, and satellite group SES +1.8%, having agreed to vacate spectrum for 5G in the US.

(Telecompaper) Danish operator TDC announced that it's rejected a takeover proposal from a group made up of pension funds PFA Pension and Forsikringsselskab, PKA and ATP and Macquarie Infrastructure & Real Assets Europe. TDC's Board of Directors concluded that the offer was "not in the best interest of TDC's shareholders and stakeholders", the company said.
