Vivendi sells SFR to Numericable for EUR 13.5 bln, 20% stake

(Telecompaper) Vivendi's board has unanimously chosen to sell French mobile and broadband operator SFR to cable company Numericable, rather than to Bouygues Telecom, for EUR 13.5 billion of cash and a 20 percent stake in the combined Numericable-SFR. Vivendi will receive another EUR 750 million if the new company meets profitability targets. The deal means that France will continue to have four MNOs, Orange, SFR, Bouygues and Free Mobile. By joining Numericable, SFR adds a large installed base of fixed line customers to its traditional mobile business. The board cited the synergies to be gained from combining the two networks, customer benefits based on fixed-mobile convergence, a lower risk of competition issues, and the best overall value from the sale, over EUR 17 billion in cash and shares.

(Telecompaper) Altice has raised its offer for SFR, following an improved bid from rival Bouygues Telecom, the paper Le Figaro reported. Altice, the owner of French cable operator Numericable, is now offering EUR 11.75 billion cash, compared to EUR 11.3 billion from Bouygues, people familiar with the matter told the paper. A committee at Vivendi will consider the bids 13 March, and the full board will discuss the offers on 14 March. Unlike Bouygues, Altice did not make a public announcement about the higher offer. The company earlier said it would not raise its initial bid of EUR 10.9 billion cash and a 32 percent stake for Vivendi in the new group. Bouygues raised its bid by EUR 800 million, to EUR 11.3 billion cash plus a 43 percent stake for Vivendi.

Numericable boosts capex on stable revenue in 2013

(Telecompaper) French cable operator Numericable reported revenue for 2013 up 0.9 percent to EUR 1.31 billion. Adjusted EBITDA was down 0.5 percent to EUR 616 million, EBIT fell 17.6 percent to EUR 256 million, and net profit declined 17.6 percent to EUR 256 million in 2013. Capex rose by 12 percent to EUR 320 million, allowing the company to pass another 400,000 homes with fibre, taking the total to almost 5.2 million households. The financial performance was in line with the company's guidance. Numericable said it's preparing to accelerate its fibre roll-out this year, with a target of upgrading 700,000 to 800,000 households to fibre by 31 December.
