's board of directors executed a series of actions meant to "enhance" its corporate governance practices as well as those of its For Ashford Trust, the company's bylaws were amended to establish a majority-voting standard in the election of directors in uncontested elections, subject to approval of a similar amendment to the company's charter at the 2015 annual shareholders meeting; to permit shareholders to amend bylaws; and to reduce the threshold to call a special shareholder meeting to 35% from 50% of the outstanding common stock, following the company's 2015 shareholders meeting.
