We believe the transaction removes some overhang of owner vs. managerial conflict and improves Lululemon's corporate governance by monetizing part of Mr. Wilson's stake, but we caution that Mr. Wilson, Advent, and 5 of the current 10 directors have previously worked closely and collectively will account for 7 of the new 12 member Board.
