Infinera to buy Transmode for USD 350 mln

(Telecompaper) Infinera announced an agreed offer to acquire Transmode for USD 350 million. Sweden-based Transmode offers a range of metro core, edge and access equipment that will allow Infinera to address the entire end-to-end WDM market and to capitalize on the growth in 100G metro aggregation deployments. Transmode's products cover application specific features including broadband aggregation, mobile backhaul and fronthaul along with business Ethernet MEF certifications. Transmode is positioned primarily in metro applications in Europe, while Infinera is mainly active in long-haul and metro cloud, particularly in North America. Transmode shareholders will receive SEK 300 cash and 4.705 Infinera shares for every 10 shares of Transmode held, valuing the company at SEK 109 per share. This is a 46 percent premium on Transmode's average share price in the past six months. Infinera will pay a total USD 99 million cash and issue 13 million new shares. Transmode shareholders will own 8.7 percent of the combined company. Transmode's board supports the bid and its largest shareholder Pod with 33 percent of shares also agreed to tender its stake. The takeover is expected to close in the third quarter.
Vivendi offers EUR 250 mln for Dailymotion - report

(Telecompaper) The board of Orange is meeting on 7 April to consider a EUR 250 million offer from Vivendi to buy 100 percent of video portal Dailymotion, writes Les Echos, citing "several sources". Orange invested EUR 160 million in Dailymotion after a deal to sell it to Yahoo! fell through over government opposition to selling a French digital 'success story' to foreign owners. The 25 percent-State owned operator would make its money back, and more, if it accepted Vivendi's offer. Vivendi, Orange and Dailymotion refused to confirm the information. Les Echos also writes that Hong Kong conglomerate Hutchison Whampoa has pulled out of talks to buy a minority stake in Dailymotion after interior minister Emmanuel Macron said the company should remain in European hands.

My Net Fone to buy Spark's int'l voice ops for NZD 22 mln

(Telecompaper) Australian internet and VoIP services provider My Net Fone has agreed to acquire Spark New Zealand's international voice business for NZD 22.4 million. The international voice business has forecast EBITDA of round NZD 34 million per year. Spark will retain its international data business. The nonUS aspects of the transaction are expected to complete in April, with the US aspects to complete following receipt of US government approvals. The sale is in line with Spark's strategy of focusing mainly on its New Zealand operations.
New Google CFO could get USD 70 mln in 2 yrs

(Telecompaper) Google said in a regulatory filing that it could be paying newly appointed CFO Ruth Porat a base salary of USD 650,000 a one time bonus of USD 5 million after one year, plus a USD 25 million new hire grant and a USD 40 million biennial grant. The total comes to more than USD 70 million over the next two years. Porat will join Google on 26 May. Google paid outgoing CFO Patrick Pichette, who announced his retirement earlier this month, USD 62.2 million for the three years through 2013, Recode reported. Google said it wanted to stop annual cash bonuses for senior vice presidents next year and shift to a system that includes annual base salary and biennial equity grants.
