The Proxy Penalty imposes an outsized termination fee on the Company if shareholders elect a majority of directors not approved by the incumbent directors and thereafter Ashford Inc. elects to collect the fee.

OP unit holders will be permitted to purchase preferred shares of the company entitling them to vote on matters brought before stockholders on a one-for-one, as-converted basis, without the potential negative tax effects that would accompany the conversion of the OP units into common shares.
