Bouygues rejects Altice takeover offer for telecoms arm

(Telecompaper) Bouygues Group has rejected an unsolicited bid from Altice to buy its operator Bouygues Telecom. The French construction and media group said it was confident in Bouygues Telecom's ability to continue independently, given the growth opportunities on the market for digital services, its strong spectrum holdings and 4G network, success with its recently launched Android TV box and ongoing cost reduction efforts. After a board meeting to discuss the bid, Bouygues said its board felt the telecom activities could return to an EBITDA margin of at least 25 percent by 2017, the same level as in 2011, prior to the launch of the fourth mobile network operator in France. Bouygues said it was also concerned about the "execution risk" of Altice's offer, given the likely close regulatory scrutiny of the deal. The acquisition by Altice would see Bouygues Telecom merged with SFR-Numericable, reducing the country to three mobile networks and eliminating a major player on the fixed broadband market. Bouygues said it was not satisfied with Altice's response on how it would handle the regulatory questions, nor there was any certainty on the deal would affect the 700 MHz band auction planned in France late this year. Finally, Bouyues said it was concerned about the "social risks" of the acquisition, which would likely lead to numerous job losses.

Altice, Bouygues confirm offer, Iliad in talks to buy assets

(Telecompaper) Altice and Bouygues have confirmed reports that Numericable-SFR parent company Altice has made an offer to acquire Bouygues Telecom. Altice's statement did not provide further details, while earlier reports said the bid is worth just over EUR 10 billion. Bouygues confirmed that it received an unsolicited offer from Altice to start negotiations with a view to buying Bouygues Telecom. Bouygues' board of directors will meet 23 June to review Altice's letter. While press reports said that Altice's head, Patrick Drahi, started talking to Bouygues around three weeks ago, Bouygues' statement said that no negotiations are in progress. Separately, broadband and mobile operator Free's parent company Iliad announced that it has entered into exclusive talks with Numericable-SFR to buy assets related to the takeover offer for Bouygues Telecom. The sale of part of Bouygues and SFR's spectrum and network assets to Free may secure the companies regulatory approval for the takeover, which would reduce the French mobile market to three network operators from four.

Numericable-SFR makes takeover bid for Bouygues Telecom

(Telecompaper) French cable and mobile operator Numericable-SFR has made an offer for Bouygues Telecom, a person close to Martin Bouygues told Le Monde, corroborating a report in Le Journal du Dimanche, which wrote that the bid was worth a little over EUR 10 billion. Numericable-SFR is expected to get all 11 million Bouygues Telecom customers. An agreement has reportedly been found to avoid competition-related obstacles, with Free acquiring some of Bouygues Telecom's spectrum, masts and stores. Bouygues's board will meet on 23 June to discuss the offer
