Reporting To Reporting to the General Counsel of UrtheCast Corp., Deimos Vancouverbased parent company, and working closely with the Deimos management team Role Purpose HeShe will manage the legal affairs of Deimos. HeShe will assist in managing the legal aspects of Deimos daytoday operations, which includes partner and customer contracts, regulatory affairs, employment and financing matters and general risk management. The Legal Counsel will work with UrtheCasts Vancouverbased legal team to provide advice and guidance to Deimos and the UrtheCast group of companies about their domestic and global operations. Skills and Experience Excellent analytical, communication and interpersonal skills. An ability to explain complex legal issues in simple and succinct terms. Strong judgment and attention to detail. Ability to manage, assess and address priorities and to deal with confidential and sensitive issues. Initiative and ability to work independently with minimal direction. Must function well in a team environment with members of various skill levels and areas of expertise in different jurisdictions. Must represent the company both internally and externally in a highly professional manner and always be striving to enhance the reputation and business opportunities of the company. Ability to direct and focus external counsel to achieve the companys business objectives and resolve disputes. Must be flexible and enjoy the challenges of a dynamic and entrepreneurial environment. Must work well on your own but also enjoy participating in a dynamic and fastpaced team environment where quick deadlines are the norm. Key Accountabilities and Responsibilities General legal counsel 70 Provide day to day legal support to all areas Draft, review and assist in negotiating a wide variety of client and vendor contracts, including reseller, data supply, subcontractor and services, nondisclosure and funding agreements Work with and supervise outside legal counsel Intellectual Property assist with the general management of the companys trademarks and other intellectual property Employment assist human resources with employment and consulting agreements and related matters Banking support the finance team with banking compliance and financing activities and Litigation working in concert with external counsel to manage litigation and disputes. Corporate and Securities 15 Manage corporate filings, minute books, powers of attorney and periodic reporting for Deimos and its affiliated Spanish companies and Coordinate with the Vancouverbased legal team to satisfy Canadian public company reporting obligations. Regulatory Affairs 15 Manage matters related Spanish and European Union licensing and export control regimes. Educational and Experience Qualified lawyer with a law degree from an accredited law school or university. 4 years inhouse andor corporate law firm postqualification experience both would be an advantage. Strong subject matter expertise in corporate and commercial law. Experience with intellectual property, employment and labour law, compliance regulations and private international law would be an asset. Previous experience in the technology or space sector would be an asset Excellent English, both written and spoken, including ability to draft and negotiate legal contracts in English, is essential. Advanced Spanish nonlegal Contract Detail Occasional travel may be required.
