ROLE DESCRIPTION SUMMARY Under the supervision of the head of Legal Services Corporate Finance, you will be independent in providing advice in all corporate matters of the SES group internationally including legal structuring, intercompany relationships, transfer pricing etc in cooperation with finance and tax functions at SES. In this role you will be in regular contact with external counsel and SES treasury and tax for all corporate finance matters. You will further support the head of Legal Services, Corporate Finance in hisher corporate secretarial function, including the daily management of the relationship with the Luxembourg State and for SES ASTRA. Our Legal Counsel, Corporate Finance is also responsible for providing support on compliance matters with SES Code of Conduct. PRIMARY RESPONSIBILITIES KEY RESULT AREAS Corporate Finance Oversees company secretarial support for all SES group legal entities and manages a paralegal maintaining the corporate legal entity database and ensuring legal compliance and filing and reporting obligations of all legal entities of the Group Company Secretary of SES ASTRA Lead the legal support for the SES debt financing activities, liaise with external counsel, SES Treasury and other internal functions From a Legal Services, Corporate Finance perspective, assist in transactional, joint venture and MA due diligence reviews, document preparation and negotiation, ensuring compliance with applicable national and international laws and regulations Liaise with specialised outside legal advisors Manage the design and review of various corporate structures with legal, finance and tax teams Draft intercompany agreements Provide assistance to the Companys affiliates and subsidiaries on legal aspects as requested Provide advice on various areas of Luxembourg Law impacting SESs business employee relations, HR, business licences as required Provide back up support and assistance to head of Legal Services Corporate Finance in company secretarial support for the EC and the Board Support Compliance Committee in giving Code of Conduct trainings Heads up the Interco and HR practice groups Perform other tasks as required Compliance Be a member of the SES Compliance Committee, and help drive the compliance culture in SES through delivery of trainings to employees COMPETENCIES Excellent drafting skills Very Good interpersonal relations and communication skills written and verbal Excellent time management priority setting skills Strong ability to manage time, set priorities and work independently in an international oriented and demanding corporate environment. Junior Legal Counsel Corporate Finance Luxembourg Betzdorf Integrated in a small team of legal experts which is managing all SES group affiliates, you will provide legal assistance in all legal, contractual and compliance matters related to the function of the Legal Services Corporate Finance department. You will provide inregion support for market access and compliance efforts in strategic target markets, such as India, Indonesia and China, as well as other important regional countries such as Australia, Japan, Korea and Pacific island nations. In this position you will manage regulatory authorizations and compliance obligations for SES satellite operations in the APAC, as required. Maintaining a direct SES regulatory presence in Asia has proven to be essential in building and sustaining long term relations for advocacy and licensing purposes. In this role, you must be capable of navigating a large territory with widely varying cultural, regulatory and legal environments. Moreover you will also support commercial development negotiations, merger and acquisition projects and inregion satellite procurement, as may arise from time to time.
