Dialog Semiconductor to buy Atmel for USD 4.6 bln

(Telecompaper) Dialog Semiconductor said it will be acquiring Atmel for USD 4.6 billion in cash and stock. The deal will create a company with combined revenues of USD 2.7 billion. The companies expect cost synergies will reach USD 150 million per annum within the next two years and that the acquisition will be accretive to underlying earnings per share in 2017, the first full year following closing. The transaction is not subject to a financing condition. Dialog has received a financing commitment from Morgan Stanley in connection with the acquisition. The commitment includes a USD 2.1 billion senior secured credit facility . The combination has received unanimous approval by the boards of directors of both companies and is subject to regulatory approvals in various jurisdictions and customary closing conditions, as well as the approval of Dialog and Atmel shareholders. Jalal Bagherli will continue to be the CEO and executive board director of Dialog. Two members of Atmel's existing board will join Dialog's Board following closing.

Telecom Argentina to invest ARS 18 bln in mobile network

(Telecompaper) Telecom Argentina has announced plans to completely overhaul its mobile network in an ARS 18 billion (USD 2 billion) investment over the 2015-17 period, starting with ARS 5.5 billion this year alone. After securing spectrum in the 850 MHz and 1900 MHz bands, Telecom Argentina will increase the capacity of its 2G and 3G network by 50 percent over the next two years. In addition, with a view to meeting traffic demand and helping to manage the migration to 4G, the company intends to boost its IP backbone network capacity by ten times. Telecom Argentina's mobile unit Personal currently has 4G services in 22 cities in 16 provinces and the operator plans to increase the number of base stations in the greater Buenos Aires metropolitan area by 50 percent between 2015 and 2016.

XPO Logistics Inc said it would buy trucking and logistics company Con-way Inc for $3 billion, including debt, making it the second largest provider of less-than-truckload services in North America. Con-way's shares jumped 33 percent to $47.20 in after market trading on Wednesday, just shy of XPO's offer of $47.60 per share in cash.

Equinix to buy Japan's Bit-isle for JPY 33 bln

(Telecompaper) Data centre operator Equinix is expanding in Japan with the acquisition of Tokyo-based Bit-isle. The offer of JPY 922 per share cash values Bit-isle at JPY 33.3 billion (USD 280 million). The acquisition of Bit-isle will further strengthen Equinix's position in Asia-Pacific, the company's fastest growing region, as well as improve the company's market position in Japan. The integration of Bit-isle and Equinix's existing operations in Japan will create the fourth largest data centre operator in Japan. Equinix will gain five data centres in Tokyo and one in Osaka in close proximity to the existing Equinix International Business Exchange data centres in Japan. After the completion of the TY5 site in Q1 2016, Equinix will have a total 10 IBX data centres in Tokyo and two in Osaka.
