Shaw reaches agreement to buy ViaWest for USD 1.2 billion

(Telecompaper) Canadian telecom and media company Shaw Communications has agreed to acquire US datacentre, cloud and managed IT services provider ViaWest for USD 1.2 billion from Oak Hill Capital and other shareholders. Denver-based ViaWest serves over 1,300 customers across seven states. It operates 27 data centres in eight Western US markets, including Dallas, Austin, Salt Lake City, Las Vegas, Phoenix and Portland. ViaWest's revenue and EBITDA have grown by 15 percent CAGR between 2010 and 2013, driven by long-term contracts and high customer retention. The acquisition is expected to close in September, subject to US regulatory approval.

Google Q2 revenues advance 22% to USD 16 bln

(Telecompaper) Google said second-quarter revenues lifted 22 percent from the year before to USD 15.96 billion. The figure excludes traffic acquisition costs, which reached USD 3.29 billion, or 23 percent of advertising revenues. Sites generated revenues of USD 10.94 billion, up 23 percent from the year before, while Network Revenues went 7 percent higher to USD 3.42 billion. Other revenues represented USD 4.6 billion, up 53 percent. Revenues from outside the US totaled USD 9.33 billion, of 58 percent of total revenues. Revenues from the UK amounted to USD 1.62 billion. Operating profit rose to USD 4.26 billion from 3.47 billion the year before. Net profit increased to USD 3.42 billion or USD 4.99 per share, from 3.23 billion or 4.77 per share. Motorola's results were recorded as discontinued operations, pending the sale of the handset business to Lenovo. Motorola contributed a net loss of USD 198 million for the quarter. Operating cash flow amounted to USD 5.63 billion, compared to 4.71 billion the year earlier. Free cash flow reached USD 2.98 billion. Capex went to USD 2.65 billion, mainly for data-centre construction, real estate purchases, and production equipment. The company said it expects to continue making significant capital expenditures. At the end of June, Google had USD 61.20 billion in cash, cash equivalents, and marketable securities, compared to 58.72 at end December.

Tencent buys 19.9% stake in 58.com for USD 736 mln

(Telecompaper) Chinese internet and mobile services firm Tencent has agreed to invest USD 736 million in exchange for approximately 19.9 percent equity interest in Chinese online marketplace 58.com. Tencent has agreed to purchase 36,805,000 Class A and B ordinary shares at a purchase price of USD 20 per ordinary share, corresponding to USD 40 per American Depositary Share, each representing two ordinary shares. In addition, 58.com will use part of the proceeds from this transaction to repurchase 27,603,750 ordinary shares from existing pre-IPO shareholders. Tencent and 58.com have agreed to use each other as the preferred partner in local services. Tencent and 58.com plan to jointly build out online-to-offline (O2O) services leveraging the combined features of their respective platforms.
Nest to buy Dropcam for USD 555 million

(Telecompaper) Google-owned Nest, a vendor of smart home products and services such as thermostats, smoke and CO alarms, has entered into an agreement to buy home camera and motion sensor tag company Dropcam for USD 555 million in cash, subject to adjustments. Dropcam was founded by CEO Greg Duffy and Coo Aamir Virani in 2009. Its backers include Accel Partners, Kleiner Perkins Caufield & Byers and Menlo Ventures.
