Megafon to buy Yota for USD 1.2 billion

(Telecompaper) MegaFon has agreed to buy LTE operator Scartel, which operates as Yota, from its majority owner Garsdale at an equity value of USD 1.18 billion. Scartel has nationwide LTE spectrum consisting of 2x30 MHz in the 2.5-2.6 GHz band. Its LTE network already covers 27 percent of the population and has more than 648,000 subscribers. Garsdale also controls MegaFon, and the mobile operator already acts as a MVNO on the Scartel network. Garsdale, which is ultimately controlled by Alisher Usmanov, has 50 percent plus 100 shares in Megafon, while TeliaSonera has a 25.2 percent stake. The latter said it plans to support the takeover at the special shareholders meeting in September to approve the deal. Megafon said it expects significant synergies from the takeover, allowing it to strengthen its data network, accelerate the roll-out and lower the cost of 4G deployment. It will also take on up to USD 600 million in debt from Yota.
AOL to acquire Adap.tv for USD 405 mln

(Telecompaper) AOL has agreed to acquire Adap.tv, a global programmatic video advertising platform. The combination of AOL On and Adap.tv will equip AOL with an end-to-end service and video stack for publishers and advertisers, from premium original production, to content aggregation and syndication platforms, robust video CMS technology and a programmatic video platform. Adap.tv will operate independently as part of AOL's video organisation and be included as part of the overall service offered by AOL networks to its publisher and advertiser partners. The purchase price will total USD 405 million, comprised of approximately USD 322 million in cash and USD 83 million in AOL common stock, subject to certain adjustments, The closing is subject to customary closing conditions, including expiration of the applicable waiting period. The boards of directors of both companies have approved the transaction, and the stockholders of Adap.tv have approved the transaction. AOL expects to close the acquisition in the third quarter of 2013.
Eutelsat to acquire Satmex for over USD 1.1 bln

(Telecompaper) Satellite operator Eutelsat Communications has agreed to acquire Satelites Mexicanos (Satmex). Eutelsat will acquire the entire share capital of Satmex for USD 831 million. Based on Satmex's reported net debt of USD 311 million at 31 March 2013, this price corresponds to an enterprise value of USD 1.142 billion. The transaction is expected to close by year-end, subject to government and regulatory approvals and other customary conditions.

Sprint grows Q2 revenue to USD 8.88 billion

(Telecompaper) US mobile operator Sprint reported USD 8.88 billion of revenues in the second quarter, compared to USD 8.84 billion a year earlier. The company's operating loss widened to USD 874 million from USD 629 million in the second quarter of 2012. It recorded a pretax loss of USD 1.54 billion, versus USD 1.35 billion in the year-earlier quarter. Sprint Nextel made a USD 1.6 billion net loss in the second quarter (USD 0.53 loss per share), including approximately USD 430 million of depreciation and USD 623 million of non-cash charges related to the Nextel platform shutdown. Sprint had 53.38 million mobile customers at the end of June, including 30.45 million postpaid, 15.22 million prepaid and 7.71 million wholesale and affiliate subscribers. The Nextel platform was shut down on 30 June, with a postpaid Nextel recapture rate of 34 percent.
