CenturyLink to buy Level 3 for USD 34 billion

(Telecompaper) US operator CenturyLink has confirmed an agreement to acquire Level 3 Communications for USD 34 billion including debt, extending its push into the business services market. Level 3 shareholders will receive USD 66.50 per share in cash and CenturyLink stock, a premium of 42 percent on Level 3's share price last week before reports first emerged of a possible deal. The acquisition will see CenturyLink shareholders own 51 percent of the combined company and Level 3 shareholders 49 percent.

Qualcomm to acquire NXP Semiconductors for USD 47 bln

(Telecompaper) Qualcomm has agreed to buy NXP Semiconductors for USD 47 billion, strengthening its position in the wireless market and create a new growth market in automotive. Qualcomm will pay USD 110 per share in cash for NXP, a premium of over 30 percent compared to NXP's share price a month ago when reports of a possible takeover first emerged.

AT&T to buy Time Warner for USD 85 billion

(Telecompaper) AT&T has agreed to acquire the media group Time Warner for a combination of cash and stock worth USD 85 billion. After expanding to Mexico and acquiring satellite TV provider DirecTV last year AT&T is looking to video content for its next area of growth, acquiring with Time Warner assets such as HBO, CNN, TNT and the Warner Bros film studio. AT&T said the combination will mean networks to deliver "world's best premium content" to every screen.

T-Mobile to pay USD 48 mln fine over 'unlimited' data plans

(Telecompaper) The Federal Communications Commission has announced a settlement with T-Mobile US over the "inadequate disclosures" of its data plans, which were throttled at times of high congestion even though they were sold as unlimited. The FCC said the operator has agreed to pay a total of USD 48 million after its investigation found that "company policy allows it to slow down data speeds when T-Mobile or MetroPCS customers on so-called 'unlimited' plans exceed a monthly data threshold." The FCC added that: "Company advertisements and other disclosures may have led unlimited data plan customers to expect that they were buying better and faster service than what they received."

UPC Poland buys Multimedia Polska for USD 760 mln

(Telecompaper) Liberty Global's UPC Poland has agreed to acquire the cable operations of Multimedia Polska (Multimedia), the third-largest cable operator in Poland, in an all cash transaction valued at PLN 3.0 billion (USD 760 million). The final purchase price will be subject to potential downward adjustments for the operational and financial performance of Multimedia before closing. Liberty Global Mike Fries said the deal will significantly increase the group's scale in Poland, where it is already the largest cable operator. At completion, Liberty Global will begin upgrading the Multimedia network in order to provide faster broadband speeds and the Horizon TV video service. The combined operations of UPC Poland Multimedia will have over 4 million passed homes and businesses.
